Terms of Service

These Terms of Service are the legally binding version and are published in English. Danish (Dansk) and Ukrainian (Українська) translations are provided for convenience, but in case of any discrepancy the English version prevails.

1. About LynBro ApS

LynBro ApS (CVR 46321499) is a Danish IT consulting company incorporated in Denmark, with registered office at Rødovre Parkvej 276, 2610 Rødovre, Denmark. We provide web development, mobile applications, AI integration, workflow automation, cloud infrastructure, CRM solutions, and related digital services.

2. Acceptance of Terms

By accessing our website, requesting a quote, or entering into a service agreement with LynBro ApS, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

These Terms apply to all visitors, prospects, and clients. They are supplemented by any written service contract or statement of work (SOW) agreed between you and LynBro ApS; in case of conflict, the written contract prevails.

3. Services

The services described on this website represent LynBro ApS's general capabilities. The specific scope, deliverables, timeline, and pricing of any engagement are agreed in a separate written proposal or contract signed by both parties.

We reserve the right to decline any project request at our sole discretion, including but not limited to projects that conflict with our values, legal obligations, or capacity.

4. Indicative Pricing

Any prices, estimates, or calculator results shown on this website are indicative only and do not constitute a binding offer. A legally binding quote requires a written proposal issued by LynBro ApS and accepted in writing by the client.

All prices are exclusive of Danish VAT (moms, 25%) unless stated otherwise in a written contract.

5. Project Delivery

Project timelines and milestones are agreed in the written contract. LynBro ApS will use commercially reasonable efforts to meet agreed deadlines. Delays caused by the client (e.g., late provision of content, feedback, or approvals) may result in revised timelines and additional costs, which will be communicated in writing before any additional charges are incurred.

6. Client Responsibilities

The client agrees to:

  • Provide accurate and complete information required for project delivery.
  • Respond to requests for feedback, approvals, and content within agreed timelines.
  • Ensure that any materials provided to LynBro ApS (logos, images, text, data) do not infringe third-party intellectual property rights.
  • Comply with all applicable laws, including GDPR, when operating digital products built by LynBro ApS.

7. Intellectual Property

Upon receipt of full payment for a project, LynBro ApS assigns to the client all intellectual property rights in the custom-developed deliverables (source code, designs, and content created specifically for the client).

The following are not transferred to the client and remain the property of LynBro ApS or relevant third parties:

  • Open-source software and third-party libraries used in the project (governed by their respective licences).
  • LynBro's proprietary frameworks, tools, or reusable components used as building blocks.
  • Any pre-existing LynBro intellectual property incorporated into the deliverables (a non-exclusive licence to use such components is granted as part of the project).

8. Payment Terms

Payment terms are defined in the written contract. Unless otherwise agreed:

  • An advance payment of 50% of the project value is due before work commences.
  • The remaining 50% is due upon delivery of the final deliverables.
  • Invoices are due within 14 days of issuance.
  • Late payments accrue interest at the statutory Danish rate under the Interest on Late Payments Act (renteloven).

9. Confidentiality

Both parties agree to treat as confidential any non-public information received from the other party in connection with a project. This obligation survives termination of the engagement for a period of 3 years. This does not apply to information that is publicly available or independently developed.

10. Limitation of Liability

To the maximum extent permitted by Danish law, LynBro ApS's total liability to the client for any claims arising out of or related to the services shall not exceed the total fees paid by the client for the specific project giving rise to the claim in the 12 months preceding the claim.

LynBro ApS shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

11. Warranty

LynBro ApS warrants that services will be performed with reasonable skill and care. For development projects, we provide a 30-day bug-fix warranty after final delivery, covering defects in our work that prevent the deliverable from functioning as specified. This warranty does not cover issues arising from client modifications, third-party software changes, or use of the deliverable outside its intended scope.

12. Termination

Either party may terminate an engagement with 30 days' written notice. Upon termination, the client shall pay for all work completed up to the termination date. LynBro ApS will deliver all completed work product upon receipt of payment for work performed.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, government actions, internet outages, or pandemic-related restrictions.

14. Governing Law and Jurisdiction

These Terms and any disputes arising from them are governed by the laws of Denmark. Any disputes shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark, with the Copenhagen City Court (Københavns Byret) as the court of first instance.

15. Changes to These Terms

We may update these Terms from time to time. The date at the top of this page indicates when they were last revised. Continued use of our website or services after changes have been posted constitutes your acceptance of the revised Terms.
